Master Service Agreement For Clinical Trials
(h) CRO is not a party to an agreement that would prevent it from fulfilling its obligations under this Agreement or imposing conflicting obligations on CRO, and CRO agrees that it will not, during the term of that agreement, enter into a service agreement that would in any way prevent it from providing the services provided for in this Agreement or from imposing conflicting obligations on CRO; 17. Storage and Handling. Cro and sponsor will comply and CRO will require that all sites, clinical verifiers and all other persons providing services related to the Project comply with all applicable laws regarding the storage, handling, disposal and transfer of the product, and each of the persons mentioned above assumes exclusive responsibility for its violation. 12. Audits. CRO conducts quality inspections and audits of site facilities and services, clinical verifiers and any other person providing project-related services in accordance with standard working instructions approved by the Proponent (the “Audit Plan”) and CRO provides the Proponent with copies of all audit reports. Notwithstanding the foregoing, the Promoter has the right, but not the obligation, to accompany CRO in such audits. CRO will inform the Sponsor in writing of upcoming audits so that the Sponsor can participate. If the Sponsor chooses to participate in accordance with the above sentence, the Sponsor will notify CRO in advance in writing.
For greater clarity, Sponsor`s participation in audit activities does not relieve CRO of its obligations under this Agreement and Sponsor is limited to acting as a support during such audit. The CRO is competent and experienced in the design, management and conduct of clinical trials and wishes to make these services available to the sponsor in accordance with the conditions set out in this Agreement. 7.2 Assignment and Waiver of Other Rights. 1.2 Individual Project Agreements. The specific details of each service project under this Agreement (each “Project”) are set out in writing in an Individual Project Agreement (“IPA”) in a form substantially similar to Annex A, attached and inserted by reference. Each DPI details the services to be provided under this Agreement (the “Services”) and is subject to all the terms of this Agreement. The Parties shall attach a copy of each IPA as an Annex to this Agreement. 1.1 Scope of Contract. As a form of master contract, this agreement allows the parties to award services related to project-based studies through the execution and provision of agreements in a form substantially similar to the individual project agreement (as discussed and annexed to point 1.2 below), without having to renegotiate the basic conditions set out therein.
This agreement covers the provision of services by CRO and CRO`s associated companies to the associated companies of the sponsor and the sponsor (see point 1.4) and, therefore, this agreement allows the sponsor and its related companies to effectively conclude contracts on a global basis with CRO and its related companies covering a wide range of services. . . .
